Terms of Service

Last updated: September 28, 2026 · Effective: September 28, 2026

Who We Are and What These Terms Cover

Billion Brains Research (OPC) Pvt Ltd is a company registered in Bengaluru, Karnataka, India. We call ourselves "Billion Brains Research" or "we" in these Terms. We build and run Inherent, the hosted service available at inherent.sh, app.inherent.sh, api.inherent.sh and docs.inherent.sh.

These Terms are a binding agreement between you, the customer, and Billion Brains Research. You accept them by ticking the consent box at sign-up, or simply by using the service. If you are accepting on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms.

Where we refer to "you," we mean the customer that accepted these Terms, whether that is an individual, a team, or a larger organisation.

The Service

Inherent is a context engine for AI agents. It ingests content from the sources you connect, including Notion, Confluence, Slack, Zendesk, Jira, GitHub, Google Drive, Postgres and direct uploads. It stores and indexes that content, then returns retrieved context through the web app, the public API, and the Model Context Protocol (MCP) endpoint.

Features change over time. We may add, change or retire features as the product evolves. If we remove a feature in a way that materially affects your use of the service, we will give you reasonable notice first.

The service is delivered as a hosted product: you do not need to install, patch or operate any infrastructure yourself. We run the ingestion pipeline, the vector index, the retrieval layer and the web app. Access to the dashboard, the public API and the MCP endpoint is included in your plan, and each can be used independently depending on how you have integrated Inherent into your own workflow. The specific commitments and disclaimers that apply to how reliably these systems run are set out in Security and Availability and Warranties and Disclaimers, not in this section.

Open-Source Engine

The engine that powers Inherent is open source. Its source code is published at github.com/inherent-prime/inherent under the MIT License. The MIT License, not these Terms, governs your use of that code. If you download, self-host or modify the engine yourself, that does not create a customer relationship with us, and nothing in these Terms limits the rights the MIT License grants you over that code.

Eligibility and Accounts

You must be at least 18 years old to use Inherent, and the service is intended for business use. When you create an account, give us accurate details and keep them up to date. Each login is for one person; do not share a single login across a team. Keep your credentials and API keys secret, and you are responsible for all activity that happens under your account. Tell us at once if you notice unauthorised use of your account. If an account looks compromised, we may suspend it while we investigate.

We reserve the right to ask for reasonable verification of your identity or your organisation's identity, particularly if we suspect fraud or a violation of the Acceptable Use section. We do not sell access to Inherent to individuals for personal, non-business use, and we may decline a sign-up that does not meet these requirements.

Free Trial

New accounts get a 14-day trial with full Pro capability, and we do not ask for a card to start it. The trial starts the moment you sign up.

When the trial ends without a paid subscription, the dashboard becomes read-only, API requests are refused, and syncs from any connected sources pause. We do not delete your data immediately: we keep it for a grace period of at least 30 days, and we email you a warning before deletion. Throughout the grace period, before that deletion happens, you can download your documents individually from the dashboard, and you can email support [at] inherent.sh to ask us to export everything for you or to delete it. After the grace period ends, your trial data, including documents, workspaces, conversations, API keys and connections, is permanently deleted.

If you subscribe during the grace period, full access is restored with no data loss. We allow one trial per person or organisation, and we may refuse a repeat trial request.

We offer the trial so you can properly evaluate Inherent against your own content and workflows before committing to a subscription. Because the trial gives full Pro capability rather than a limited demo, we ask that you use a genuine work email and connect real, representative sources so the evaluation is meaningful.

Plans, Fees and Billing

We offer one self-serve plan, called Pro, at USD 29 per month. It is billed monthly in advance and auto-renews until you cancel it. Pro includes 30 GB of storage and unlimited requests, subject to the fair use limits described in Fair Use and Rate Limits.

Paddle is our Merchant of Record for this subscription. That means your purchase is made from Paddle, and Paddle's own checkout terms apply to the transaction. Paddle collects your payment, issues the invoice and handles applicable taxes such as VAT, GST and sales tax. Prices are shown excluding tax unless stated otherwise.

We may change our prices, but we will give you at least 30 days' notice by email before we do. The new price takes effect from your next renewal after that notice period ends. If a payment fails, we retry it a few times; if it keeps failing, we may downgrade your account to the access restrictions described in Free Trial (dashboard read-only, API requests refused, source syncs paused) until payment succeeds. That downgrade borrows only those access restrictions: it does not start the trial grace-period clock. If a paid account is not brought current, deletion instead follows the process in Suspension and Termination, including the notice by email before any future scheduled deletion.

You can view your invoices, update your payment method and see your renewal date at any time in the billing page in your dashboard, which opens Paddle's customer portal. If you need a copy of a past invoice for your own accounting or tax records, Paddle's customer portal is the place to find it, since Paddle issues the invoice as Merchant of Record for every charge.

Cancellation and Refunds

You can cancel your subscription at any time from the billing page in your dashboard, which opens Paddle's customer portal. Your access continues until the end of the period you already paid for, and you will not be charged again after that.

We do not give refunds or credits for partial months, unused storage or unused requests. The 14-day trial exists precisely so you can evaluate Inherent before paying. The exceptions are limited to the cases set out in our Refund & Cancellation Policy: a billing error such as a duplicate charge or a charge made after we had already confirmed your cancellation, a refund required by applicable law, and where we end your subscription for convenience under Suspension and Termination, in which case we refund prepaid fees for the unused period.

Fair Use and Rate Limits

"Unlimited requests" means there is no daily cap on how many requests you can make. To keep the service reliable for every customer, we apply a per-minute fair-use limit. If you go over that limit, the affected requests receive an HTTP 429 response and you can retry them shortly afterward.

If your stored data goes above the 30 GB included in the Pro plan, new uploads and source syncs are refused until you free up space. If your usage pattern is far outside what we consider normal, we may reach out and agree a custom arrangement with you rather than simply applying the standard limits.

Your Content

You keep all rights to the content you connect or upload to Inherent. What we get from you is a limited licence: the right to host, copy, process, index, transmit and display that content, and only so we can provide, secure and support the service, or do something you have specifically instructed us to do.

You are responsible for having the right to connect and upload your content, including any rights you need from the third-party tools it comes from, and for making sure that content is lawful. We do not use your content to train AI models, whether ours or anyone else's.

AI Features and Third-Party Model Providers

Retrieval, chat and deep-retrieval features work by sending the relevant customer content and your queries to third-party AI model providers for inference. That transfer is transient: it happens only for the specific request being served, and it takes place under contracts that forbid those providers from training on your data.

AI-generated output can be wrong or incomplete. You decide how much to rely on it, and you should review AI output before acting on it in regulated or high-risk contexts.

If we change providers, the same standard applies to the new one: transient use only, no training on your data, and use limited to serving the request you made. We do not control how a third-party AI model provider's own infrastructure performs, so if a provider has an outage, AI features may be temporarily unavailable.

Connected Sources and Third-Party Services

Connecting a source such as Notion, Slack, GitHub or Google Drive uses OAuth or an access token that you grant. You can revoke that access at any time, either in the source tool itself or from within Inherent. Your use of that third-party tool is governed by its own terms, not ours. We are not responsible for changes, outages or data loss that happen inside a third-party service.

Acceptable Use

You may not use Inherent for anything illegal, or to store or process content that is infringing, defamatory or otherwise unlawful. You may not upload malware, scrape the service, or attempt unauthorised access to it. You may not interfere with the service or with other customers' use of it, and you may not share a single account across more than one organisation.

You may not resell the hosted service without a written agreement with us. You may not use the hosted service to build a directly competing hosted product by copying its non-public features; this restriction does not limit anything the MIT License already permits you to do with the open-source engine code. You may not upload personal data belonging to children under 18, or any data you do not have the right to process.

If you break these rules, we may remove the offending content or suspend your account, and we will give notice where practical before we do.

API, MCP and Keys

API keys and MCP tokens are secrets, and you are responsible for how they are used. If a key is leaked or abused, we may rotate or revoke it. Documented rate limits apply to API and MCP use. If we ever need to make a backwards-incompatible change to the API, we will give at least 30 days' notice through the docs or by email, except where the change is needed to fix a security issue.

Data Protection

Customer content often contains personal data. For that data, you are the controller under GDPR, or the Data Fiduciary under the India Digital Personal Data Protection Act, 2023; Billion Brains Research is the processor, or the Data Processor, acting on your instructions. Whichever data protection law applies to your use of the service, the obligations in this section describe how we handle personal data on your behalf.

We process personal data only to provide the service, keep it confidential, apply appropriate security measures, and use only the sub-processors listed in our Privacy Policy. If a personal data breach affects your content, we notify you without undue delay. When you ask us to, or when our relationship ends and you request it, we delete or return your data; where we reasonably can, we also help you respond to data-subject requests. See Suspension and Termination for what happens to your content if you do not request deletion. Your data is hosted in the European Union, specifically in Germany.

If you need a signed Data Processing Agreement, Standard Contractual Clauses, or an Indian DPDP processing contract, email legal [at] inherent.sh. See our Privacy Policy for more detail on how we handle personal data.

Security and Availability

We use encryption in transit and at rest, apply access controls and monitoring, and take daily backups. On the self-serve Pro plan we do not offer an uptime guarantee, but we aim for high availability and announce planned maintenance where practical. You should keep your own copies of your source content: Inherent is not a system of record or a backup service.

Confidentiality

Each side keeps the other's non-public information confidential and uses it only for the purposes of this relationship. Confidential information may be disclosed only where the law requires it, and with notice to the other side where that is allowed. This confidentiality obligation survives termination of these Terms for 3 years, and for trade secrets, it survives for as long as they remain secret.

Intellectual Property and Feedback

The hosted service, its design, its documentation and our trademarks belong to Billion Brains Research, subject to the MIT License that applies to the open-source engine. Nothing in these Terms grants you any rights beyond what is stated here. If you give us feedback or suggestions, we may use them freely, without any obligation to you.

Suspension and Termination

You may terminate at any time by cancelling your subscription. Cancelling keeps your access until the end of the period you already paid for, as described in Cancellation and Refunds; it does not delete your account immediately. We may suspend your account for non-payment, a security risk, a legal requirement, or a breach of the Acceptable Use section, and we restore access once the underlying cause is fixed.

We may terminate these Terms for a material breach that remains uncured 14 days after we give you notice of it, and in that case we may end your access immediately; we do not owe a refund for that remaining period. We may also terminate these Terms for any reason with 30 days' notice; your access continues through that notice period, and then the dashboard becomes read-only, and we refund any prepaid fees for time beyond the notice period that you will not get to use. Either way, if you were a paid account, we keep your content rather than deleting it when the paid period or your access ends, so it stays retrievable: while you still have access, you can download your documents individually from the dashboard, and at any time you can email support [at] inherent.sh to ask us to export everything for you or to delete it. We have not built an automated deletion schedule for cancelled paid accounts, and we will give you notice by email before we implement and run one. If you were on a trial, the trial grace period applies instead. Backups expire on their normal schedule, and we keep the records we are required to keep by law.

Warranties and Disclaimers

The service is provided "as is" and "as available." We do not warrant that it is error-free, uninterrupted, or fit for any particular purpose, and we do not warrant that AI output is accurate. Nothing here affects any statutory rights you have that cannot be excluded by agreement.

Limitation of Liability

We are not liable for indirect, consequential, special or punitive loss, including lost profits, lost data or business interruption. Our total liability is capped at the fees you paid in the 12 months before the claim, or USD 100 if you paid us nothing. These exclusions do not apply to fraud, wilful misconduct, or any liability that cannot be limited by law.

Indemnity

You indemnify us against third-party claims that arise from your content, your connected sources, or your breach of the Acceptable Use section. We indemnify you against third-party claims that the hosted service, excluding your content, third-party services and the open-source engine, infringes that party's intellectual property, provided you give us prompt notice of the claim and let us control its defence.

Governing Law and Disputes

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute. Before either side goes to court, we agree to try to resolve the dispute in good faith for 30 days after written notice of it. Nothing here stops either side from seeking urgent injunctive relief in any court, at any time.

Changes to These Terms

We may update these Terms from time to time. If a change is material, we give at least 30 days' notice by email or in-app before it takes effect. Continuing to use the service after the effective date counts as acceptance of the change. If you disagree with a change, you can cancel your account before the effective date.

General

These Terms, together with our Privacy Policy, our Refund & Cancellation Policy, and any signed order form, are the entire agreement between us. If these Terms and the Refund & Cancellation Policy differ on refunds, the Refund & Cancellation Policy governs. You need our consent to assign these Terms to someone else; we may assign them to a successor of our business. Failing to enforce a term is not a waiver of it. If any part of these Terms is found unenforceable, the rest stays in effect. Neither side is liable for delay caused by events outside its reasonable control, though this never excuses your obligation to pay fees you owe.

Legal notices should go to legal [at] inherent.sh, and to you at the email address on your account. You confirm that you are not on a sanctions list and that you will not use the service from an embargoed country, in line with applicable export control and sanctions law. The English-language version of these Terms governs if there is any conflict with a translation.
